“Services” refers to digital marketing services including but not limited to social media marketing, paid advertising, SEO, website development, content creation, branding, and consulting.

2. Scope of Services

2.1 Services will be provided as per the mutually agreed proposal, quotation, or contract.

2.2 Any additional services outside the agreed scope will be charged separately and will require written approval from the Client.

2.3 We reserve the right to refuse service to any client for lawful reasons.

3. Client Responsibilities

3.1 The Client agrees to provide accurate, complete, and timely information required for the execution of services.

3.2 The Client confirms that all materials, content, logos, images, and data provided do not infringe any third-party rights.

3.3 Delays caused due to lack of information, approvals, or cooperation from the Client may affect timelines and results.

4. Payments & Billing

4.1 Fees will be charged as per the agreed proposal or invoice.

4.2 All payments must be made in advance unless otherwise agreed in writing.

4.3 Late payments may result in suspension of services without notice.

4.4 All fees paid are non-refundable unless explicitly stated otherwise in writing.

5. Advertising & Third-Party Platforms

5.1 We do not guarantee specific results such as leads, sales, rankings, or revenue.

5.2 Platforms such as Google, Meta, or other third-party services operate independently and are subject to their own policies.

5.3 Advertising budgets paid to third-party platforms are separate from agency fees and are non-refundable.

6. Intellectual Property

6.1 Upon full payment, the Client is granted rights to use the final approved deliverables.

6.2 We reserve the right to showcase completed work in our portfolio, website, and marketing materials unless otherwise agreed.

6.3 All tools, strategies, templates, and internal methodologies remain the intellectual property of the Agency.

7. Confidentiality

7.1 Both parties agree to maintain confidentiality of all sensitive and proprietary information.

7.2 Confidential information shall not be disclosed to any third party without prior written consent, except where required by law.

8. Termination

8.1 Either party may terminate the agreement by providing written notice as per the agreed contract terms.

8.2 Upon termination, all outstanding dues must be cleared immediately.

8.3 No refunds will be issued for work already completed or services already rendered.

9. Limitation of Liability

9.1 We shall not be liable for any indirect, incidental, or consequential damages.

9.2 Our total liability shall not exceed the amount paid by the Client for the services in the preceding one month.

10. Force Majeure

We shall not be held responsible for failure or delay in performance due to events beyond reasonable control including natural disasters, system failures, government actions, or internet outages.

11. Indemnification

The Client agrees to indemnify and hold harmless the Agency from any claims, losses, damages, or expenses arising from Client-provided content, misuse of services, or violation of these terms.

12. Governing Law & Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of India, and courts of India shall have exclusive jurisdiction.

13. Amendments

We reserve the right to update or modify these Terms and Conditions at any time without prior notice. Continued use of our services constitutes acceptance of the revised terms.
